NSO Gear B2B Terms & Conditions

These Terms & Conditions govern all B2B transactions between NSO GEAR LTD and business customers. By registering as a B2B customer or placing a wholesale order, you agree to these terms.

1. Eligibility & Target Customers

  • B2B services are available to registered businesses, including outdoor retailers, military/camping stores, organizations, training facilities, and related entities.
  • We reserve the right to approve or reject any B2B application at our sole discretion.

2. Account Approval

  • B2B status is granted only after verification of business details (VAT number, registration number, and supporting documentation).
  • Accounts may be suspended or downgraded if information is found to be inaccurate or misleading.

3. Pricing & Discounts

  • B2B customers may receive volume-based discounts ranging from 15%–30% or more depending on order size and product category.
  • Prices are confidential and may not be publicly disclosed or resold as official pricing.
  • We reserve the right to modify B2B pricing without prior notice.

4. Minimum Order Requirements

  • Minimum first order value: €300
  • Minimum annual order requirement to maintain B2B status: €900

5. Orders & Payment Terms

  • All B2B orders require full payment in advance unless otherwise agreed in writing.
  • Orders are only confirmed after payment clearance.
  • We reserve the right to reject or cancel any order at any stage prior to fulfillment.

6. Product Availability & Lead Times

  • In-stock items: 2–3 business days preparation time.
  • Out-of-stock items: 3–4 weeks estimated production/procurement time.
  • Delivery timelines are indicative and not guaranteed.

7. Shipping & Delivery

  • Smaller orders are shipped via courier services (e.g. ACS Courier).
  • Larger orders may be shipped via DHL or equivalent freight partners.
  • Shipping method is determined based on volume, destination, and logistics efficiency.

8. Customization & Branding

  • We offer customization services including branding, labeling, and packaging (subject to approval).
  • Custom orders may require extended lead times and are non-refundable once production begins.

9. Returns & Warranty

  • Defective or incorrectly supplied goods may be returned within 14 days of delivery.
  • Returns may be subject to inspection and approval.
  • A restocking fee may apply (up to 20%) for non-defective returns.
  • Custom-made or branded products are non-returnable unless defective.

10. Intellectual Property

  • All product designs, branding, images, and intellectual property remain the exclusive property of NSO GEAR LTD.
  • B2B partners may use product images only for resale or listing purposes, provided they do not alter or misrepresent them.

11. Confidentiality

  • B2B pricing, terms, and commercial arrangements are confidential and must not be disclosed to third parties.

12. Limitation of Liability

  • Our liability is strictly limited to the value of the affected order.
  • We are not responsible for indirect, consequential, or business loss damages.

13. Governing Law & Disputes

  • These Terms are governed by the laws of the Republic of Cyprus and applicable EU law.
  • Any disputes shall fall under the exclusive jurisdiction of Cypriot courts.

14. Changes to Terms

  • We reserve the right to update or modify these Terms at any time.
  • Continued use of B2B services constitutes acceptance of updated terms.
